Featured Speaker - Todd C. Toral, Partner in DLA Piper's Litigation practice

Todd Toral is a partner in DLA Piper's Litigation practice, based in San Francisco. He focuses his practice on business litigation with an emphasis on investment partnerships, tax disputes, finance and defending claims of alleged unlawful business practices. Mr. Toral's litigation experience includes:

- Litigation and restructuring counsel to international banks and syndicators concerning investments in tax credit projects throughout the US. For example, for the last several years he has served as chief outside counsel to an
international bank and its subsidiaries on workout, restructuring and claims litigation arising out of a multibilliondollar pool of distressed low-income housing tax credit operating partnerships and upper-tier guaranteed and unguaranteed funds

- First chair in several high-profile tax shelter disputes with the California Franchise Tax Board, the IRS and several promoters of tax advantaged products involving complex financial derivatives, including hedge transactions,
European call/put options and OID bonds

- Special tax litigation counsel to an international hydroelectric power plant developer in litigation concerning the national and international tax consequences of transactions undertaken between multiple companies located in Canada, Philippines, Barbados, Bermuda and the United States

- Representation of a Fortune 10 company in letter of credit disputes in the Northern District of Texas and Southern District of New York. Mr. Toral received two published opinions vindicating his client's positions, one of
which involved a novel position concerning disregarding the citizenship of a letter of credit issuer on the ground that it was a "nominal" defendant for purposes of determining whether the district court had jurisdiction based on
diversity of citizenship between the parties

- Litigation counsel for the global workout and restructuring of a division of a Fortune 10 company, including managing all aspects of debt and equity restructuring transactions and creditors' rights litigation throughout the
US, Mexico and Central America.

Before joining DLA Piper, Mr. Toral was deputy practice group leader for Nixon Peabody's Commercial Litigation group.

Between college and law school, Mr. Toral served as an officer in the United States Marine Corps. From 1991 through 1993, he had successful tours as a platoon commander and rifle company executive officer, planning and directing the deployment of infantry units throughout Hawaii, Japan and Southeast Asia. In 1993, Mr. Toral was selected to be the adjutant for Second Battalion Third Marines. In this capacity, he trained at the United States Navy's Naval Justice School and later led a team of 20 Marines in adjudicating more than 175 matters ranging from administrative separations for violations of Marine Corps policy to felony prosecutions for serious violations of the Uniform Code of Military Justice.

He currently serves as an appellate panelist for the Veteran's Consortium Pro Bono Program, assisting veterans in appealing adverse decisions made by the VA. Locally, Mr. Toral has successfully represented the Berkeley Food
and Housing Project and the San Francisco Center for Criminal Juvenile Justice in proceedings before the IRS. In 2005, the Bar Association of San Francisco's Volunteer Legal Services Program honored Mr. Toral with its Outstanding
Volunteer Attorney award.

In law school, Mr. Toral was an editor of the University of San Francisco Maritime Law Journal and the managing director of the Moot Court Board and was the captain of the National Moot Court team that won Best Brief in the Western Regional competition. He also received the American Jurisprudence award in torts and an award for Best Oral Argument.
